UPDATE ON ROYAL MAIL PENSION PLAN TRUSTEE ARRANGEMENTS

 

 

On 29 May 2024, the boards of directors of each of EP UK Bidco Limited (“Bidco“) and International Distribution Services plc (“IDS“) announced that they had reached agreement on the terms of a recommended cash offer pursuant to which Bidco, a newly formed company owned indirectly by EP and J&T, would offer to acquire the entire issued and to be issued share capital of IDS, other than the IDS Shares owned or controlled by VESA Equity Investment S.à r.l. (the “Offer“). The offer document in relation to the Offer was published and made available to IDS Shareholders and to persons with information rights and participants in the IDS Share Plans on 26 June 2024 (the “Offer Document“).

 

Terms used but not defined in this announcement have the same meaning given to them in the Offer Document.

 

Agreement regarding the Royal Mail Pension Plan (“RMPP”)

 

EP has held constructive discussions with Royal Mail Pension Trustees Limited (in its capacity as trustee of the RMPP) (the “Trustee“) and announces that, on 23 September 2024, Bidco entered into a legally binding deed of undertaking with the Trustee (the “RMPP Undertaking“) relating to the future governance thereof, including an undertaking from Bidco to preserve the existing structural composition of the board of directors of the Trustee and to prevent any removal or replacement of the Trustee as trustee of the RMPP, in each case for a period of five years following completion of the Acquisition.

 

The RMPP Undertaking will come into effect upon completion of the Acquisition.

 

None of the statements in this announcement, or any of the contractual commitments from Bidco to the Trustee referred to above, are “post-offer undertakings” for the purposes of Rule 19.5 of the Takeover Code.

Note to U.S. holders of IDS Shares

The Offer is being made for the securities of an English company that is listed on the London Stock Exchange by means of a contractual takeover offer under the Takeover Code and English law and is subject to disclosure requirements and practices that are different, in some cases materially, from the tender offer rules of the United States. Similarly, if the Offer is terminated or withdrawn, all documents of title will be returned to IDS Shareholders within 14 days of such termination or withdrawal. Opening Position Disclosures must also be made by the offeree company and by any offeror and Dealing Disclosures must also be made by the offeree company, by any offeror and by any persons acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).

Details of the offeree and offeror companies in respect of whose relevant securities Opening Position Disclosures and Dealing Disclosures must be made can be found in the Disclosure Table on the Panel’s website at https://www.thetakeoverpanel.org.uk, including details of the number of relevant securities in issue, when the offer period commenced and when any offeror was first identified. You should contact the Panel’s Market Surveillance Unit on +44 (0)20 7638 0129 if you are in any doubt as to whether you are required to make an Opening Position Disclosure or a Dealing Disclosure.
